Generally agent is one who is appointed to bring his principal into contractual relationships with other persons. He is the one who acts on behalf of his principal i.e. the person he is representing. An agent is a person employed to do any act for another or to represent another in dealings with third persons. The person for whom such act is done, or who is so represented, is called the principal.

An agent is not himself a party to any contract entered into by his principal through him with the third party if he posed as a disclosed agent. As such no question of his liability to such third party for any breach can arise – The Contract Act, 1872 (IX of 1872) Section 217.

Court of Law must satisfy itself that command given to his agent by the principal is not against law – Court shall give opportunity to the person against whom an order is sought, to show cause that such an order, if passed, will be contrary to law.
